TERMS AND CONDITIONS - Fight $MEE Game

These Terms and Conditions govern your use of the "Fight $MEE" Telegram game ("Game", "Company", "we", "us", or "our"). By participating in the Game, you agree to comply with these Terms and Conditions. If you do not agree with any of these terms, you should refrain from playing the Game.
ARTICLE 1: GENERAL TERMS OF USE
1.1 Eligibility
Participation in the "Fight $MEE" Telegram game (hereinafter, the "Game") is strictly limited to individuals who are at least eighteen (18) years of age. By participating in the Game, you affirm and warrant that you meet the minimum age requirement and have the legal capacity to enter into these Terms and Conditions of Use (hereinafter, the "Terms") as a binding agreement. If you are participating on behalf of a corporation, organization, or other legal entity, you hereby represent that you have the authority to bind that entity to these Terms. In cases where applicable local laws require a higher age for lawful participation in online gaming, you affirm that you meet the legal age requirement for your jurisdiction.
1.2 Account Security and User Responsibilities
(a) Account Responsibility - You are solely responsible for maintaining the confidentiality and security of your Telegram account credentials, including any passwords or identifiers, and for any and all activities that occur under your account within the Game. You agree to take all reasonable precautions to prevent unauthorized access to your account, and you acknowledge that you bear full responsibility for any harm or liability resulting from unauthorized access or activity under your account, even if such activity occurs without your knowledge.
(b) Notification of Unauthorized Use - You agree to promptly notify us of any suspected or actual unauthorized use of your account, or any other breach of security, by contacting our designated support team. Failure to promptly report such incidents may result in the loss of your rights under these Terms, including, but not limited to, the ability to claim rewards or Points (as defined in Article 2.1).
1.3 Modifications to the Game
(a) Right to Modify or Discontinue - We reserve the right, in its sole discretion, to modify, suspend, or discontinue the Game, or any part thereof, at any time, with or without prior notice. Such modifications may include, but are not limited to, changes in gameplay mechanics, Points accumulation, reward structures, or the introduction of new features or limitations. You acknowledge that these modifications may affect the value, functionality, or availability of accumulated Points or any pending rewards, and you agree that we shall not be liable for any direct or indirect losses resulting from such modifications.
(b) No Liability for Changes - In the event that the Game is suspended or discontinued, we disclaims all liability for any disruption, reduction, or loss of Points, rewards, or user data associated with the Game. Additionally, we shall not be obligated to provide any form of compensation, reimbursement, or restitution for unclaimed Points, rewards, or any other Game-related value that may be affected by such modifications, suspensions, or terminations.
1.4 Modification of Terms
(a) Modification - The Company reserves the right to modify these Terms and Conditions, provided that any such changes are strictly limited to pre-agreed areas, including but not limited to gameplay mechanics, Points accumulation, reward structures, and compliance with applicable legal requirements.
(b) Notice Period - Participants will be provided with a minimum thirty (30) days' notice prior to the implementation of any changes to these Terms. Notice of changes shall be communicated through registered email addresses associated with the participants' accounts and via a prominent notice displayed on the Company’s official website or Game platform.
(c) Right to Reject Changes - Participants who do not agree with the revised Terms have the right to reject the changes by notifying the Company of their intent to terminate their participation in the Game within the thirty (30) days' notice period. Upon such termination, the participant's account will be closed, and any unredeemed Points or rewards will be forfeited in accordance with these Terms. Failure to provide notice of rejection within the specified time frame will be deemed acceptance of the revised Terms.
(d) Termination Process - Participants who reject changes to the Terms and wish to terminate their participation may do so by contacting the Company’s support channels. The termination will be processed in accordance with Article 12: Termination and Suspension, and no compensation will be provided for forfeited Points, rewards, or in-Game assets.
1.5 Assignment of Rights and Obligations
(a) Notification of Assignment - In the event that the Company assigns or transfers its rights or obligations under these Terms to another entity, participants will be notified via their registered email address and a notice prominently displayed on the Telegram page.
(b) Effect of Assignment - Such assignment or transfer will not affect the user’s rights or obligations under these Terms, except as explicitly stated in the notification. Users will retain the ability to terminate their participation in the Game pursuant to the provisions outlined in Article 12: Termination and Suspension if they do not agree to the assignment or transfer.
(c) Time Frame for Notification - Notification of assignment or transfer shall be provided at least thirty (30) days prior to the effective date of the assignment, except where such prior notice is not feasible due to legal, regulatory, or operational constraints.
ARTICLE 2: GAMEPLAY AND REWARDS
2.1 Participation and Points Accumulation
(a) Points Accumulation through Gameplay - By engaging in specific actions within the "Fight $MEE" Game (hereinafter, the "Game"), players can accumulate in-game points (hereinafter, "Points"). These actions may include, but are not limited to, participation in game activities from time to time. The number of Points awarded for each action shall be determined solely by the Company and may be subject to periodic adjustment at the Company’s discretion.
Eligibility and Participation All users who access and participate in the “Fight $MEE” Game (the “Game”) are eligible to accumulate Points through in-game activities, subject to these conditions.
Points Accumulation Players can earn in-game points (“Points”) by performing specific actions within the Game. These actions may include, but are not limited to, daily gameplay participation and other activities determined by the Company. The number of Points awarded per action will be defined solely by the Company and may be adjusted from time to time at the Company’s discretion without prior notice.
Daily Participation Encouraged Players are encouraged to engage with the Game on a daily basis to maximize Points accumulation. Regular participation may enhance a player’s standing in future reward considerations.
Future Rewards By playing the Game and accumulating Points, players may become eligible to receive future rewards. These rewards may include, but are not limited to, benefits involving the $MEE token. The specific nature, amount, and date of any such rewards will not be disclosed in advance and shall be determined solely by the Company at a future time.
No Guarantee of Rewards Participation and Points accumulation do not constitute an automatic right to receive any reward. All rewards, if any, are discretionary and subject to availability, internal thresholds, and further terms which may be announced at a later stage.
Modifications The Company reserves the right to modify, suspend, or terminate any aspect of the Points system, Game mechanics, or potential rewards at any time, without notice
(b) Limitations on Rewards – rewards points, are strictly non-transferable, non-exchangeable, and may not be sold or traded for cash, cryptocurrency, or any other value outside the scope of the Game. The Company retains the right to set caps or limits on the maximum number of Points that can be redeemed for rewards within a given period or by any individual participant to ensure fair distribution and discourage exploitation of the reward system.
2.3 Fair Play and Prohibited Activities
(a) Prohibited Conduct - Participants are expressly prohibited from engaging in unfair gameplay practices, including but not limited to the use of bots, scripts, or any form of automated programs to accumulate Points. Participants may not engage in any conduct that interferes with the integrity of the Game or creates an unfair advantage over other players. Such activities are considered a violation of these Terms and may result in the suspension or permanent termination of the participant’s account.
(b) Consequences for Violations - In cases where prohibited conduct is identified, the Company reserves the right to take any action it deems necessary, including the forfeiture of Points, denial of rewards, and/or account termination. Furthermore, participants who are found to engage in such conduct may be subject to legal action as determined appropriate by the Company to protect its rights and the fairness of the Game.
2.4 Taxes, Fees, and Participant Obligations
(a) Tax Responsibility - Participants are solely responsible for any and all taxes, fees, or governmental charges that may be imposed as a result of claiming rewards or engaging in the Game. The Company will not be responsible for providing any form of tax advice or for withholding taxes on behalf of participants.
2.5 Blockchain Technology
(a) Integration with Third-Party Blockchain Platforms - The Game may utilize blockchain platforms, including but not limited to Polygon and Immutable X (IMX), to facilitate in-Game transactions, such as the issuance of $MEE tokens. These platforms are independent third-party entities, and by using their services, participants agree to enter into separate agreements with these third parties. The Company shall not be responsible for any issues, disputes, or liabilities arising from participants' interactions with these platforms, including but not limited to transaction failures, security breaches, or platform downtimes.
ARTICLE 3: INTELLECTUAL PROPERTY RIGHTS
3.1 Ownership of Intellectual Property
(a) Exclusive Ownership - All content, materials, and elements within the "Fight $MEE" Game (hereinafter, the "Game"), including, without limitation, the design, graphics, text, software, code, sound, music, and interactive features, are the exclusive property of the Company or its licensors. This content is protected by international copyright laws, trademark laws, patent laws, and other applicable intellectual property and proprietary rights laws. No ownership rights are transferred to users or participants by virtue of their participation in the Game or use of the Game’s content.
(b) Scope of Intellectual Property - Intellectual property associated with the Game includes all underlying technology and software enabling the Game’s functionality, as well as all logos, slogans, and brand identifiers, collectively referred to as "Game Content." Game Content encompasses any modifications, derivative works, updates, or enhancements made to the Game, whether generated by the Company or at the Company’s direction. Users acknowledge that they acquire no rights, titles, or interests in the Game Content or the Game itself, other than the limited license to use the Game as explicitly granted under these Terms.
3.2 License Grant to Users
(a) Limited, Non-Exclusive License - Subject to compliance with these Terms, Company hereby grants participants a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Game solely for personal, non-commercial purposes. This license does not include any rights to copy, distribute, publicly perform, publicly display, modify, or otherwise exploit the Game or any Game Content, except as explicitly permitted by Company.
(b) Restrictions on Use - Participants may not:
- Modify, copy, reproduce, or create derivative works of any Game Content;
- Distribute, publicly display, or publicly perform any Game Content without express written authorization from the Company;
- Decompile, reverse engineer, disassemble, or attempt to discover the source code of the Game or any Game Content;
- Use automated scripts, bots, or other unauthorized means to interact with the Game or to extract data from the Game Content; or
- Remove, obscure, or alter any proprietary notices, copyright, or trademark symbols displayed within the Game.
(c) Termination of License - This limited license is granted for the sole purpose of participating in the Game as per these Terms and shall automatically terminate if the participant violates any of the restrictions set forth herein. Upon termination of the license, the participant must immediately cease all access to and use of the Game and delete any copies of Game Content in their possession.
3.3 Trademarks
(a) Ownership and Use of Trademarks - All trademarks, service marks, logos, trade names, and brand identifiers associated with "Fight $MEE" and Company (collectively referred to as "Marks") are the exclusive property of the Company or its licensors. Participants are prohibited from using any Marks in any manner likely to cause confusion or that implies an association with us without the express written consent of the Company. Unauthorized use of Marks is strictly prohibited and may result in legal action.
(b) No Endorsement or Affiliation - Participants are expressly prohibited from using Marks or any other Company branding elements in a manner that could imply sponsorship, endorsement, or affiliation with the Company, except as explicitly permitted under these Terms. This includes using Marks in usernames, social media profiles, or other public-facing content that could mislead others into believing there is an official relationship or endorsement by the Company.
3.4 User-Generated Content
(a) Rights in User-Generated Content - To the extent that the Game allows users to submit, create, or post content within the Game (collectively, "User-Generated Content"), such content remains the intellectual property of the participant. However, by submitting User-Generated Content, the participant grants the Company a worldwide, non-exclusive, royalty-free, revocable, and limited license to use, reproduce, modify, publish, translate, distribute, and display such content in any media format or platform, solely for purposes related to the operation, marketing, or promotion of the Game.
(b) Limitations on License Grant - The license granted by participants to the Company under subsection (a) shall not extend to the commercial sale or licensing of User-Generated Content outside the scope of the Game's marketing or promotional activities. For any commercial use beyond these purposes, the Company agrees to seek explicit written consent from the participant and to provide fair compensation in accordance with applicable laws, including EU copyright regulations.
(c) Compliance with EU Copyright Law - In compliance with EU copyright law, including Directive (EU) 2019/790, the Company shall ensure that participants receive fair and proportionate compensation for any User-Generated Content used for commercial purposes. The Company will maintain transparency regarding such uses and provide participants with clear and accessible mechanisms to address any disputes regarding the use or compensation of their content.
(d) User Representations and Warranties - By submitting User-Generated Content, participants represent and warrant that they own all rights to such content or have obtained all necessary permissions, rights, and licenses from third parties, allowing them to submit the content under these Terms. The participant further agrees that User-Generated Content does not infringe on any third-party intellectual property rights, privacy rights, publicity rights, or other proprietary rights.
3.5 Feedback and Suggestions
(a) Voluntary Submissions - The Company welcomes feedback, suggestions, ideas, and other input from participants regarding improvements to the Game (collectively, "Feedback"). By providing Feedback to the Company, participants acknowledge that such Feedback is provided voluntarily, without any obligation of confidentiality on the part of the Company.
(b) License to Feedback - By submitting Feedback, the participant grants the Company a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully sublicensable and transferable license to use, disclose, reproduce, distribute, or otherwise exploit the Feedback for any purpose without compensation to the participant. Participants acknowledge that the Company may use and implement Feedback, including any ideas or know-how, in any manner it deems appropriate, including but not limited to the development, manufacturing, marketing, or promotion of new products or services.
3.6 Reporting Intellectual Property Violations
(a) Reporting Mechanism - If a participant believes that any content within the Game infringes on their intellectual property rights or those of a third party, they may submit a formal complaint by contacting the Company via email (info@medievalempires.com). Participants are required to provide sufficient information to substantiate their claim, including a description of the infringing content and evidence of ownership of the intellectual property rights at issue.
(b) Company’s Response to IP Violations - Upon receiving a valid report of intellectual property infringement, the Company will investigate the matter and take appropriate action, which may include removing the infringing content, disabling access to it, or terminating the accounts of repeat infringers. The Company reserves the right to act at its discretion in response to claims of intellectual property violations and to comply with all applicable laws regarding intellectual property protection.
3.7 Blockchain-Related Intellectual Property
(a) Ownership of Blockchain Assets - Blockchain-based assets, such as NFTs or $MEE tokens, issued within the Game are governed by the terms of the blockchain platform utilized (e.g., Polygon, Immutable X). The Company retains ownership of all intellectual property rights associated with these assets, excluding user-specific customizations or content, unless explicitly stated otherwise in a separate agreement.
(b) Licenses Granted via Smart Contracts - All Smart Contracts used within the Game grant users a limited, revocable, non-exclusive, non-transferable license to utilize blockchain assets solely within the scope of the Game. These licenses are subject to compliance with these Terms and the applicable terms of the third-party blockchain platforms.
ARTICLE 4: USER CONDUCT
4.1 Code of Conduct
(a) Compliance with Applicable Laws - Participants agree to use the "Fight $MEE" Game (hereinafter, the "Game") in full compliance with all applicable local, state, national, and international laws, regulations, and ordinances. Participants are solely responsible for ensuring that their use of the Game does not violate any laws or regulations within their jurisdiction, including those related to online conduct, intellectual property, privacy, and data protection.
(b) Respectful and Fair Interaction - Participants are required to engage in respectful, courteous, and fair interactions with other users within the Game environment. Harassment, bullying, threats, or any form of abusive behavior directed at other participants or Company representatives is strictly prohibited. Participants shall not use language, usernames, or in-game content that could reasonably be considered offensive, discriminatory, or harmful to other users.
(c) Prohibition of Exploitation and Cheating - Participants may not exploit, disseminate, or attempt to gain an unfair advantage through known or undiscovered bugs, glitches, or loopholes within the Game’s code or mechanics. Any attempt to manipulate the Game's mechanics, including but not limited to unauthorized duplication of Points, circumventing Game mechanics, or using automated scripts to interact with the Game, constitutes a violation of these Terms and may result in immediate account suspension or termination.
4.2 Prohibited Uses
(a) Automated Systems and Unauthorized Software - Participants are expressly prohibited from using any automated systems, bots, scripts, or unauthorized third-party software to interact with or manipulate the Game or to accumulate Points or rewards. This includes any software designed to automate gameplay, gather Points without user intervention, or alter any aspect of the Game’s functionality. Such use is a direct violation of these Terms and is subject to immediate account termination and forfeiture of all accumulated Points.
(b) Inappropriate and Unauthorized Content - Participants shall not post, upload, transmit, or otherwise make available any content within the Game that is inappropriate, offensive, defamatory, infringing, or in violation of any third-party rights. This includes content that may be deemed obscene, sexually explicit, harmful to minors, or in any way in violation of applicable laws. The Company reserves the right to remove or disable any content that violates these Terms or is deemed harmful to the Game environment.
(c) Impersonation and Misrepresentation - Participants shall not impersonate any individual, organization, or entity, including but not limited to Company representatives or other users, within the Game. Impersonating another person or falsely claiming affiliation with the Company for personal gain or any other purpose is strictly prohibited. This includes creating usernames or profile information that could reasonably mislead others into believing that there is an official affiliation with the Company.
(d) Circumvention of Security Measures - Any attempt to bypass, disable, or interfere with the security features of the Game, including measures designed to prevent unauthorized access, the accumulation of Points through unfair means, or unauthorized access to restricted content, is a serious violation of these Terms. Such actions may result in immediate account termination, the forfeiture of Points, and potential legal action.
4.3 User Responsibility for Account Activity
(a) Personal Responsibility - Each participant is responsible for all actions taken under their account, including any actions by others who may gain access to their account due to the participant’s failure to maintain account security. Participants agree not to allow third parties to access or use their account for any reason and understand that they bear sole responsibility for any damages or losses resulting from unauthorized account access or activity.
(b) Liability for Account Misuse - In cases where an account is found to be used for fraudulent, manipulative, or otherwise prohibited conduct, the participant may be held liable for all resulting consequences, including but not limited to forfeiture of Points, denial of rewards, and possible legal action taken by the Company. Participants are advised to secure their account credentials and avoid sharing their login information with others.
4.4 Reporting Violations and Abusive Conduct
(a) Reporting Mechanism - Participants who witness or experience abusive conduct, harassment, cheating, or any form of prohibited activity within the Game are encouraged to report such incidents to the Company. Reports should include all relevant details, including the nature of the violation, the identities of the users involved, and any supporting evidence where applicable.
(b) Company's Response to Reports - The Company reserves the right to investigate all reports of prohibited conduct, abusive behavior, or violations of these Terms. Based on the findings of its investigation, the Company may take appropriate action, including issuing warnings, suspending or terminating accounts, or pursuing legal remedies where applicable. Participants acknowledge that the Company has sole discretion in determining the appropriate response to reported violations and that decisions made by the Company are final and binding.
4.5 Consequences for Violations of User Conduct
(a) Immediate Action for Severe Violations - The Company reserves the right to take immediate action in cases of severe or egregious violations of these Terms, including conduct that undermines the integrity of the Game or harms the user community. Such actions may include, but are not limited to, the immediate suspension or termination of the participant’s account, forfeiture of all accumulated Points, and denial of any pending rewards.
(b) Progressive Discipline for Minor Violations - For less severe infractions, the Company may, at its discretion, implement a system of progressive discipline, including warnings, temporary suspensions, and educational measures intended to promote understanding of and compliance with these Terms. Repeated or continued violations following such measures, however, will result in stricter penalties, up to and including permanent account termination.
(c) Legal Recourse - In cases where a participant’s conduct results in material harm to the Company, its users, or its intellectual property, the Company reserves the right to pursue legal recourse, including but not limited to filing claims for damages, seeking injunctive relief, or pursuing criminal charges where applicable. Participants agree to cooperate fully with any Company investigations into violations and acknowledge that they may be held liable for all damages, costs, or expenses arising from their prohibited conduct within the Game.
4.6 Modification and Interpretation of User Conduct Rules
(a) Company’s Right to Modify - The Company reserves the right to modify, interpret, and enforce the rules governing user conduct in response to evolving Game dynamics, technological developments, or changes in user behavior. Participants agree to adhere to any updated or revised conduct rules as may be published within the Game or through official Company channels.
(b) Interpretation of Rules - The Company has sole authority in interpreting these user conduct rules and applying them to specific circumstances within the Game. Participants acknowledge that the Company’s interpretations are binding and final. The Company’s failure to enforce any particular rule in a given situation does not constitute a waiver of its right to enforce that rule or any other rule in the future.
4.7 Prohibited Activities Related to API Usage
(a) Rules for Public and Private API Usage - The Company provides access to both public and private Application Programming Interfaces ("APIs") to facilitate specific interactions with the "Fight $MEE" Game. Public APIs are designed for general use and are accessible to all participants for purposes such as retrieving game-related data or automating basic user actions in compliance with these Terms. Private APIs are restricted and may only be accessed by authorized users or systems as explicitly permitted by the Company. Unauthorized access to, or use of, private APIs is strictly prohibited and constitutes a violation of these Terms.
(b) Permissible Uses of APIs - Participants are allowed to use public APIs solely for non-commercial, personal purposes directly related to enhancing their gameplay experience, provided such use:
- Does not interfere with the Game’s operations or functionality;
- Does not create an unfair advantage over other participants; and
- Complies with all applicable laws and regulations, as well as the technical and usage limitations outlined in the Company’s API documentation.
(c) Prohibited API Misuse - Participants are expressly prohibited from:
- Using APIs to engage in automated or bot-driven gameplay or Points accumulation;
- Exploiting API endpoints to manipulate game data, disrupt game mechanics, or bypass in-Game restrictions;
- Accessing private APIs without prior written authorization from the Company; and
- Sharing API keys or credentials with unauthorized parties.
(d) Consequences of API Misuse - Any participant found to misuse public or private APIs will face immediate consequences, which may include:
- Suspension or permanent termination of their account;
- Forfeiture of all accumulated Points, rewards, or in-Game assets;
- Legal action to recover damages or prevent further misuse; and
- Revocation of access to all API services provided by the Company.
(e) Reporting API Misuse - Participants who discover vulnerabilities, misuse, or unauthorized activities related to the Game’s APIs are required to report such issues promptly to the Company via the designated support channels. Failure to report such activities, or knowingly exploiting API vulnerabilities, will be treated as a serious violation of these Terms.
ARTICLE 5: LIMITATION OF LIABILITY AND DISCLAIMER OF WARRANTIES
5.1 Disclaimer of Warranties
(a) "AS-IS" and "AS AVAILABLE" Basis - The "Fight $MEE" Game (hereinafter, the "Game") and all related services, features, and content are provided strictly on an "as-is" and "as available" basis. The Company makes no representations or warranties of any kind, express or implied, as to the operation of the Game, the accuracy, completeness, or reliability of any information provided within the Game, or the availability of Points, rewards, or $MEE tokens.
(b) No Implied Warranties - To the fullest extent permissible under applicable law, the Company expressly disclaims all warranties, express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, compatibility, security, or accuracy. The Company does not warrant that the Game will meet participants' expectations or requirements, be uninterrupted or error-free, or be free from viruses, malware, or other harmful components. Participants bear full responsibility for their use of the Game and for implementing any necessary precautions to protect their systems.
(c) No Guarantee of Rewards or Points Accumulation - The Company does not guarantee that participation in the Game will result in the accumulation of Points, rewards, or $MEE tokens. Points and rewards are subject to availability, and the Company reserves the right to alter, limit, or discontinue the accumulation and redemption of Points and rewards at its sole discretion without notice. Participants understand and acknowledge that Points have no inherent monetary or property value and cannot be exchanged for cash or any other form of compensation.
5.2 Limitation of Liability
(a) Exclusion of Certain Damages - Under no circumstances shall the Company, its affiliates, officers, directors, employees, agents, licensors, or partners be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or in connection with participation in or use of the Game, whether the liability is based on contract, tort, negligence, strict liability, or any other legal or equitable theory, even if the Company has been advised of the possibility of such damages. This limitation includes, but is not limited to, damages resulting from loss of profits, data, use, goodwill, or other intangible losses.
(b) Limitation on Direct Damages - To the fullest extent permitted by applicable law, the Company’s total cumulative liability for any direct damages arising out of or in connection with these Terms, the Game, or any services provided therein, whether in contract, tort, or otherwise, shall not exceed the total amount, if any, paid by the participant directly to the Company for participation in the Game within the twelve (12) months immediately preceding the event giving rise to the liability. If no fees were paid, the Company’s liability shall be limited to a maximum of $50. This limitation is cumulative and not per incident.
(c) No Liability for Third-Party Conduct - The Company shall not be liable for the conduct, actions, or omissions of any third party, including other participants in the Game, third-party service providers, or other entities or individuals with whom participants may interact through or in connection with the Game. This includes, but is not limited to, any unauthorized access to, theft of, or alteration of participant data or content within the Game resulting from actions of third parties.
5.3 Indemnification by Participants
(a) Indemnity Obligation - By participating in the Game, participants agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, licensors, and partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with (i) their use or misuse of the Game; (ii) any violation of these Terms; (iii) any violation of applicable laws or regulations; (iv) any infringement of third-party rights, including intellectual property or privacy rights; or (v) any User-Generated Content submitted by the participant.
(b) Defense and Cooperation - The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the participant. In such cases, the participant agrees to cooperate fully with the Company’s defense of the claim. Participants agree not to settle any matter that is subject to indemnification without the prior written consent of the Company.
5.4 Release of Claims
To the fullest extent permitted by law, participants hereby release and forever discharge the Company, its affiliates, officers, directors, employees, agents, licensors, and partners from any and all claims, demands, losses, damages, rights, and actions, of any kind or nature, known or unknown, arising out of or related to the Game or participation therein, including any disputes between participants or between participants and third parties. Participants expressly waive any rights they may have under any applicable statute or common law principle that would otherwise limit the effect of this release to claims they may know or suspect to exist in their favor.
5.5 Jurisdictional Exceptions
(a) Specific Jurisdictional Protections - Some jurisdictions do not permit the exclusion of certain warranties or limitations of liability for incidental or consequential damages. To the extent that any provision of these Terms is found by a competent legal authority to be invalid or unenforceable under applicable law in a particular jurisdiction, that provision shall be deemed modified to the extent necessary to comply with such law, while retaining the original intent and purpose of the provision.
(b) Severability - If any part of these Terms, including but not limited to the limitation of liability and disclaimer of warranties provisions, is found to be unenforceable in a given jurisdiction, that part shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.
5.6 Acknowledgment of Limitations and Risks
Participants acknowledge and agree that participation in the Game may involve certain risks, including the risk of loss of Points, rewards, $MEE tokens, or other in-game benefits, and that the Company makes no representation or warranty regarding the continued availability or value of such Points, rewards, or tokens. Participants expressly assume all risks associated with their participation in the Game, including risks related to the availability, functionality, and security of the Game.

ARTICLE 6: GAME REWARDS STRUCTURE AND REDEMPTION
6.1 Rewards Structure
(a) In-Game Points and Rewards - Participants in the "Fight $MEE" Game accumulate Points through various actions, including but not limited to in-game tasks, challenges, and achievements. Points can be redeemed for $MEE tokens and other in-game items, subject to availability and any specific conditions outlined by the Company.
6.2 Modification of Rewards
The Company reserves the right to modify, replace, or discontinue any rewards or redemption structures at any time without prior notice. Modifications may be based on factors including user engagement, token supply, and security considerations.

ARTICLE 7: PARTICIPANT CONDUCT AND RESTRICTIONS
7.1 Fair Play and Cheating Prevention
(a) Prohibition of Exploits and Bots - The use of automated systems, bots, or any other unauthorized third-party software to accumulate Points, achieve rewards, or manipulate Game functions is strictly prohibited.
(b) Reporting of Exploits - Participants who identify vulnerabilities, exploits, or bugs within the Game that could provide an unfair advantage are required to report these to the Company. Failure to report such issues or exploiting them may result in penalties, including account termination and forfeiture of Points.
7.2 Prohibited Conduct
(a) Account Sharing and Unauthorized Access - Participants are prohibited from sharing their accounts with others or allowing third parties to access their accounts. Unauthorized access may result in account suspension and loss of accumulated Points.
(b) Disruptive Behavior - Behavior that disrupts the enjoyment of other participants, including but not limited to harassment, spamming, and disruptive language or conduct, is strictly prohibited.

ARTICLE 8: MONITORING AND ENFORCEMENT
8.1 Game Monitoring
The Company reserves the right to monitor all activities within the Game to ensure compliance with these Terms. Monitoring may include tracking Points accumulation, gameplay interactions, and other in-Game activities.
8.2 Enforcement Actions
(a) Violations and Penalties - Participants found to be in violation of any provision of these Terms may face penalties, including temporary suspension, permanent account termination, and forfeiture of all accumulated Points and rewards.
(b) Appeals Process - Participants who believe they have been unjustly penalized may submit an appeal. Appeals must be submitted in writing within 7 days of the penalty notification and must include evidence supporting the participant’s case.

ARTICLE 9: IN-GAME ASSET OWNERSHIP AND TRANSFER LIMITATIONS
9.1 Ownership of In-Game Assets
License to Use In-Game Assets - Any assets or items obtained within the Game, including $MEE tokens and NFTs, are licensed to the participant solely for use within the Game environment. These assets do not confer any real-world ownership or property rights.
9.2 Loss of Access
The Company is not responsible for any loss of in-Game assets due to technical issues, user error, or unauthorized account access. Participants are encouraged to use security measures and follow best practices to protect their accounts.

ARTICLE 10: SPECIAL EVENTS AND LIMITED-TIME OFFERS
10.1 Event Participation
From time to time, the Company may host special events, promotions, or limited-time offers in connection with the Game. These events may have unique eligibility requirements, rules, and reward structures that will be communicated in advance.
10.2 Limited-Time Offers
Rewards earned or acquired during limited-time offers or promotions may be subject to specific redemption conditions or expiration periods, which will be disclosed within the terms of each specific event.

ARTICLE 11: USER-GENERATED CONTENT AND FEEDBACK
11.1 Content Submission Guidelines
Participants may have the option to submit feedback, suggestions, or other User-Generated Content (UGC) within the Game or on Company platforms. All UGC must comply with community guidelines and must not infringe upon third-party rights or contain inappropriate content.
11.2 Licensing of UGC
By submitting UGC, participants grant the Company a worldwide, non-exclusive, royalty-free, irrevocable, perpetual license to use, reproduce, modify, and display the content for purposes of promotion, improvement, and development of the Game.

ARTICLE 12: TERMINATION AND SUSPENSION
12.1 Termination by the Company
(a) Grounds for Termination - The Company reserves the right to terminate a participant’s access to the "Fight $MEE" Game (hereinafter, the "Game") at any time, with or without notice, for any reason, including but not limited to:
- (i) Violation of these Terms and Conditions;
- (ii) Fraudulent or unauthorized activity;
- (iii) Disruptive or abusive behavior towards other participants or Company representatives; or
- (iv) Any action that the Company, in its sole discretion, deems harmful to the Game, other participants, or the Company’s interests.
(b) Prior Warnings for Minor Breaches - For minor breaches of these Terms, the Company will provide participants with at least one prior written warning specifying the breach and giving them a reasonable opportunity to rectify the issue before terminating access to the Game. Repeated or unresolved breaches following a warning may result in immediate termination. This provision does not apply to severe breaches, which may result in immediate termination as outlined in subsection (c).
(c) Immediate Effect of Termination - Upon termination, the participant’s right to access the Game, redeem accumulated Points, or claim any pending rewards will cease immediately. The Company shall have no obligation to compensate the participant for any forfeited Points, rewards, or in-Game assets. All licenses granted to the participant under these Terms will immediately expire.
12.3 User-Initiated Termination
Participants may terminate their participation in the Game at any time by ceasing to access and use the Game. Termination by the participant results in the forfeiture of all accumulated Points, which shall be deemed null and void. The Company shall not be liable for any loss resulting from the participant’s decision to terminate their access.
12.4 Effects of Termination or Suspension
(a) Forfeiture of Points - Upon termination or suspension, any accumulated Points associated with the participant’s account may be forfeited without compensation. Participants agree that such forfeiture shall not give rise to any liability on the part of the Company.
(b) Continuing Obligations - The termination or suspension of access does not absolve the participant from any obligations under these Terms that, by their nature, are intended to survive termination.
(c) Retention of User Data (GDPR Compliance) - In compliance with the General Data Protection Regulation (GDPR), the Company will retain user data for a period of up to thirty (30) days following account termination to allow participants to submit access or deletion requests. During this period, participants may request a copy of their data or request the permanent deletion of their data by contacting the Company through designated support channels. After the 30-day retention period, all personal data will be securely and irreversibly deleted unless otherwise required by applicable law.
