Terms and Conditions for NFT Genesis Commander Collection Event

1. Introduction:
Welcome to the Medieval Empires' Pte Ltd (the “Project”) Genesis Commander Collection NFT (“NFT”) launch event. “Genesis Commander” is the NFT collection on Immutable zkEVM, which will provide the NFT holders with in-game utility to create heroes with higher durability and unique traits. The heroes generated through NFT are unique and cannot be generated in-game without these NFTs.
By participating in this event, you agree to the following terms and conditions.
2. Scope of These Terms and Conditions:
These terms and conditions (“Terms”) govern your access to and use of the Project, including the purchase of NFTs. You agree to be bound by these Terms by accessing or using the Project. If you do not agree to these Terms, you may not access or use the Project.
3. Event Overview:
a) Event: Minting of Genesis Commander NFT
b) Mint Start Date: August 8th, 2024, 1 PM UTC
c) Reveal Date: August 13th, 2024, 1 PM UTC
d) Platform: Custom-built NFT Launchpad
4. Minting Rounds:
a) Guaranteed Whitelist (WL) Round: This is the first round in which only those on the whitelist can participate, which runs from 1 PM to 3 PM UTC on August 8th, 2024. Each whitelisted wallet can mint one NFT.
b) WL First Come First Serve (FCFS) Round: This second round is also exclusive to whitelisted wallets but operates on a first-come, first-serve basis from 3 PM to 4 PM UTC on August 8th, 2024. In this round, each whitelisted wallet can mint one NFT.
c) Public Round: This round is open to all participants and is not limited to the whitelist. It starts at 4 PM UTC on August 8th, 2024. Each wallet can mint one NFT on a first-come, first-served basis until the supply, as mentioned in clause 5, is exhausted.
5. Eligibility:
a) The event is open to participants who are 18 years of age or older.
b) Participants must have a compatible digital wallet (Immutable passport wallet or EVM-compatible wallet on ZKEVM) to mint and receive the NFT.
6. Minting Process:
a) The Genesis Commander NFT Collection consists of 4,444 NFTs only.
b) Minting is free of charge and for a limited time.
c) Participants in the Guaranteed Whitelist and WL First Come First Serve phases must be on the whitelist.
d) Each wallet is limited to one NFT mint in total.
7. Genesis Commander NFT Collection:
a) The "Genesis Commanders" collection provides NFT holders with in-game utility to create heroes with higher durability and unique traits.
b) Heroes generated through Genesis Commander NFTs are unique and cannot be generated in-game without these NFTs.
c) Genesis Commander holders will receive a multiplier in the Medieval Empires Loyalty Platform, allowing them to win $MEE tokens and in-game resource bundles.
d) Each NFT is unique and represents ownership of a digital asset featuring original artwork that embodies a copyright license.
e) The NFTs purchased through the Project grant their owners a copyright license for the commercial and personal use of the work it represents, subject to the terms and conditions set forth in these Terms.
8. Transfer and Resale
a) Participants are allowed to transfer or sell their minted NFTs on secondary marketplaces.
b) Medieval Empires is not responsible for any transactions conducted on third-party platforms.
9. No Financial Advice
a) The NFTs are collectibles and do not represent any investment or financial advice.
b) Medieval Empires does not guarantee any future value or financial return from owning the NFTs.
10. Limitation of Liability
a) Medieval Empires is not liable for any loss or damage arising from participating in the event or using the minted NFTs.
b) Participants assume all risks associated with the use of blockchain technology and digital assets.
11. Disclaimer of Warranties
a) THE PROJECT WILL NOT BE LIABLE FOR LOSS, DAMAGE, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, SOFTWARE, DATA, OR SIMILAR BY THE USE OF THE PROJECT’S WEBSITE, SERVICES, PURCHASE, ETC. YOU MUST TAKE THE NECESSARY PROTECTIVE MEASURES TO ACCESS AND USE THE NFTS, SUCH AS UPDATING AND MAINTAINING YOUR DEVICES AND THE PROPER SOFTWARE.
b) TO THE FULLEST EXTENT PROVIDED BY LAW, THE PROJECT DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
12. Privacy
a) Personal information collected during the event will be used solely for the purpose of facilitating the minting process and will not be shared with third parties.
b) Privacy terms of this program are governed as mentioned in the Medieval Empires Privacy Policy.
13. Changes or Updates of the Terms
a) The Project reserves the right to update or modify these Terms at any time, without notice and in its sole discretion.
b) All changes will be effective when they are posted on The Project’s web page and will apply to all access to and use of The Project thereafter.
c) Your continued use of The Project following the posting of the revised Terms and Conditions means that you accept and agree to the changes. You are obligated to constantly check the Terms in order to be informed and aware of what they include.
14. Disclaimers
a) No Guarantee: Participation in the NFT launch event does not guarantee receipt of NFT. The company reserves the right to modify or cancel the mint at any time without prior notice.
b) Tax Obligations: Participants are solely responsible for any taxes or fees associated with receiving NFTs’. The Project will not provide tax advice or bear any tax liabilities on behalf of participants.
c) Limited Liability: The Project is not liable for any losses or damages resulting from participation in the NFT launch event. Participants assume all risks associated with their participation.
d) Final Decision: The Project’s decisions regarding any aspect are final and binding.
